"ODACITY" – Refers to our AI agency and the services we provide.

"User" – Refers to any individual or entity accessing or using our Services.

"Services" – Includes all AI-powered real estate tools, lead qualification services provided by ODACITY.

By using our Services, you confirm that you:

✅ Have the legal capacity to enter into a contract.

✅ Agree to comply with these Terms and all applicable laws and regulations.

a. Prohibited Use

You agree NOT to:

❌ Use the Services for any illegal or unauthorized purpose.

❌ Interfere with or disrupt the Services.

❌ Attempt to gain unauthorized access to any part of the Services.

❌ Copy, modify, distribute, or reverse-engineer any part of the Services.

❌ Use AI-generated content for deceptive or misleading practices.

To access certain features of our Services, you may need to create an account.

✅ You agree to provide accurate and complete information.

✅ You are responsible for maintaining the security of your account.

✅ You are responsible for all activity that occurs under your account.

ODACITY reserves the right to suspend or terminate accounts that violate these Terms.

a. Subscription and Pricing

• Certain features of our Services require a paid subscription.
• Fees are outlined on our website and are subject to change.
• All payments are due at the time of purchase.

b. Refund Policy

• Refunds will only be issued in cases where the Service is not delivered as described.
• Subscription fees are non-refundable unless stated otherwise in a separate agreement.

All content, trademarks, logos, and software used in connection with the Services are the property of ODACITY or its licensors.

b. License to Use

We grant you a limited, non-exclusive, non-transferable license to use the Services solely for your real estate business purposes.

c. Restrictions

You may not copy, reproduce, or modify any part of the Services without our express written consent.

Both parties agree to keep confidential any proprietary information shared during the course of using the Services. This includes business data, customer information, and AI-generated insights.

Your use of our Services is also governed by our Privacy Policy. By using our Services, you agree to the collection and use of your data as outlined in the Privacy Policy.

To the fullest extent permitted by law:

• ODACITY is NOT liable for any indirect, incidental, or consequential damages arising from the use of our Services.
• Our total liability is limited to the amount you paid for the Services in the 12 months prior to the claim.
• We are not responsible for third-party platforms or integrations used with our Services.

You agree to indemnify and hold ODACITY, its affiliates, and employees harmless from any claims, liabilities, damages, and expenses (including legal fees) arising from your use of the Services, your violation of these Terms, or your violation of any rights of a third party.

a. Termination by User

You may terminate your account at any time by contacting us at hello@odacity.io.

b. Termination by ODACITY

We reserve the right to suspend or terminate your access to the Services if:

• You breach any part of these Terms.
• We are required to do so by law.
• We discontinue the Services.

We may modify or discontinue any part of the Services at any time without liability.

• We will notify you of any material changes to these Terms.
• Continued use of the Services after changes means you accept the modified Terms.

These Terms are governed by and interpreted according to the laws of United States/Wyoming, without regard to conflict of law principles.

Any disputes arising out of these Terms will be resolved through:

• Good Faith Negotiation – Attempt to resolve disputes informally first.
• Arbitration – If negotiation fails, disputes will be settled through binding arbitration under the rules of the Wyoming/United States.
• Jurisdiction – Any legal action will be filed in the courts of Wyoming/United States.

ODACITY will not be held liable for any failure or delay in performance due to circumstances beyond our control, including but not limited to natural disasters, power failures, labor disputes, or government restrictions.
